3. Engagement Process

3.1 Discovery Call

All engagements begin with a free discovery call to understand your automation needs, challenges, and goals.

3.2 Custom Proposal

Following the discovery call, we provide a custom proposal outlining the scope of work, deliverables, timeline, and pricing.

3.3 Agreement

Work begins only after you accept our proposal and complete the payment as per the agreed terms.

4. Pricing and Payment

4.1 Custom Pricing

All projects are quoted on a case-by-case basis. Pricing depends on:

• Project complexity
• Number of integrations required
• Scope of automation
• Data volume and processing requirements
• Timeline and urgency

4.2 Payment Terms

Payment is required in full before project work begins, as per the custom quote provided. We accept bank transfers and other mutually agreed payment methods.

4.3 Additional Work

Any work outside the agreed scope will be quoted separately and requires additional payment.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information during the discovery phase
• Grant necessary access to systems, accounts, and data required for the project
• Respond to our requests for information within a reasonable timeframe
• Review and approve deliverables in a timely manner
• Make payment as per the agreed terms
• Use the delivered solutions in accordance with applicable laws and regulations

6. Intellectual Property

6.1 Ownership Transfer

Upon full payment, you own all rights, title, and interest in the custom automation workflows, code, and deliverables created specifically for your project.

6.2 Pre-existing Materials

Third Brain retains ownership of any pre-existing tools, templates, frameworks, or methodologies used in delivering the services.

6.3 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio unless you specifically request confidentiality.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed with reasonable skill and care. We will address any defects or errors in our work within 30 days of project completion at no additional cost.

7.2 No Guarantees

While we strive for excellence, we do not guarantee specific business outcomes, cost savings, or time savings. Results may vary based on your implementation and usage.

7.3 Third-Party Services

We are not responsible for the performance, availability, or changes to third-party platforms and services integrated into your automation solutions.

8. Limitation of Liability

To the maximum extent permitted by law, Third Brain's total liability for any claims arising from our services shall be limited to the total fees paid by you for the specific project in question.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

9. Refunds and Cancellations

Refund and cancellation requests are evaluated on a case-by-case basis considering:

• Stage of project completion
• Resources already committed
• Work already performed
• Reason for cancellation

Refund decisions are at the sole discretion of Third Brain and will be communicated in writing.

10. Confidentiality

We respect the confidentiality of your business information and will not disclose sensitive information to third parties without your consent, except as required by law.

You agree to keep any proprietary information, methodologies, or trade secrets shared by Third Brain confidential.

11. Termination

Either party may terminate an engagement with written notice. Upon termination:

• You remain responsible for payment of work completed up to the termination date
• We will deliver all completed work and materials
• Any refunds will be determined on a case-by-case basis as outlined in Section 9

12. Indemnification

You agree to indemnify and hold Third Brain harmless from any claims, damages, or expenses arising from:

• Your use of the delivered automation solutions
• Your violation of these Terms
• Your violation of any laws or regulations
• Infringement of third-party rights caused by content or data you provide

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

We encourage resolving disputes through good-faith negotiation before pursuing legal action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
